Piezas by Softmax Data — Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Softmax Data Inc., a British Columbia corporation ("Softmax," "we," "us," or "our"), governing your access to and use of the Softmax Piezas platform ("Piezas" or the "Service"), including the web dashboard, REST APIs, SDKs, client libraries, documentation, and all related services hosted at piezas.ai and its subdomains.
By creating an account, accessing the Service, or integrating with our APIs, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
Piezas provides modular, reusable backend building blocks delivered as managed API services ("Components"). These Components include but are not limited to: entity management, pipeline orchestration, task management, notifications, calendar, messaging, workflow automation, forms, document management, reporting, pricing, and discussion services. The platform enables developers and organizations to integrate hosted backend functionality into their applications without building from scratch.
The Service operates on an "as available" basis and is under continuous development. Features, APIs, and Component capabilities may change. We make commercially reasonable efforts to communicate breaking changes with advance notice.
3. Eligibility
You must be at least 16 years of age to use the Service. By agreeing to these Terms, you represent that you have the legal capacity to enter into a binding agreement. If you are under 18, you represent that your parent or legal guardian has reviewed and consented to these Terms on your behalf.
4. Account Registration & Security
Account creation requires a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials, including API keys. You agree to provide accurate registration information and to notify us immediately of any unauthorized access to your account.
You are responsible for all activity that occurs under your account, including actions performed by automated systems, AI agents, or third-party applications using your API keys.
5. API Keys & Access Tokens
The Service provides API keys (prefixed with sk_live_ or sk_test_) for authentication. API keys are exchanged for short-lived access tokens (JWTs) that authorize calls to individual Components. You must:
- Keep API keys confidential and never embed them in client-side code, public repositories, or shared environments.
- Rotate keys immediately if you suspect compromise.
- Use test-environment keys (
sk_test_) for development and live keys (sk_live_) for production only.
We store only cryptographic hashes of API keys. Full keys are shown once at creation and cannot be retrieved afterward.
6. Your Data & Intellectual Property
You retain all ownership rights to data you store through the Service ("User Data"). You grant Softmax a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, and display User Data solely for the purpose of providing and maintaining the Service. This license terminates when you delete your data or your account.
Softmax does not use User Data for model training, analytics, or the development of competing products.
7. Softmax Intellectual Property & Proprietary Rights
The Service, including all software, APIs, Component architectures, system designs, algorithms, data models, user interfaces, workflows, documentation, and underlying technology (collectively, "Softmax IP"), is and remains the exclusive intellectual property of Softmax Data Inc. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No ownership of, or rights in, Softmax IP are transferred to you.
The "Software-as-a-Component" delivery model, including the architectural patterns for modular service composition, multi-tenant isolation, API key exchange for token-based authentication, and the overall system design, constitutes Softmax trade secrets and proprietary methodology. Access to the Service does not grant you any right to replicate, reverse-engineer, or derive works from these proprietary methods.
8. Non-Compete & Non-Solicitation
By using the Service, you agree to the following restrictions, which survive termination of your account:
8.1 Non-Compete
During your use of the Service and for a period of twenty-four (24) months following termination of your account, you shall not, directly or indirectly:
- Develop, create, market, distribute, or operate a product or service that replicates, substantially imitates, or is substantially similar to the Piezas platform or any of its Components, including the architectural concept of delivering modular backend services as reusable API-driven components under a multi-tenant model.
- Use knowledge, insights, system designs, architectural patterns, or technical understanding gained through access to the Service to build, advise on, or contribute to a competing platform.
- Assist, advise, invest in, or provide services to any third party engaged in developing a substantially similar platform, where such assistance draws upon proprietary knowledge obtained from the Service.
8.2 Non-Solicitation
During your use of the Service and for a period of twenty-four (24) months following termination of your account, you shall not, directly or indirectly:
- Solicit, recruit, or hire any employee, contractor, or consultant of Softmax Data Inc., or induce any such person to leave their engagement with Softmax.
- Solicit or induce any customer, user, or business partner of Softmax to cease doing business with Softmax or to use a competing service.
8.3 Scope & Enforceability
These restrictions apply worldwide and are considered reasonable in scope, duration, and geographic reach given the nature of the Service and the proprietary information accessible through it. If any court of competent jurisdiction determines that any provision of this Section 8 is unreasonable or unenforceable, the court shall modify the provision to the minimum extent necessary to make it enforceable, rather than voiding it entirely.
9. Acceptable Use
You agree to use the Service lawfully and shall not:
- Store or transmit content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Store third-party personally identifiable information without appropriate consent and legal basis.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or architectural design of any Component or the platform.
- Scrape, crawl, or extract data from the Service for the purpose of building a competing product or dataset.
- Resell, sublicense, or redistribute access to the Service without prior written authorization from Softmax.
We reserve the right to investigate potential violations and to suspend or terminate accounts engaged in prohibited activities. We may report unlawful activity to appropriate authorities.
10. API Usage & Rate Limits
API access is subject to rate limits that vary by plan tier. We may throttle or temporarily restrict access to maintain platform stability. Persistent or intentional abuse of rate limits may result in account suspension. Your current rate limits and enabled Components are visible in your dashboard.
11. Multi-Tenant Isolation & Data Separation
The Service employs tenant-level data isolation. Your data is logically separated from other tenants' data through tenant-scoped access controls. While we implement commercially reasonable security measures, no system is completely secure, and we cannot guarantee absolute isolation in all circumstances.
12. Service Availability & Modifications
We do not guarantee uninterrupted or error-free access to the Service. Temporary unavailability may result from scheduled maintenance, infrastructure updates, or circumstances beyond our reasonable control. We will endeavor to provide at least 30 days' advance notice for material changes that affect existing API contracts.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SOFTMAX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. NO WARRANTY IS MADE REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR AVAILABILITY OF THE SERVICE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOFTMAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR CAD $100, WHICHEVER IS GREATER.
15. Indemnification
You agree to indemnify, defend, and hold harmless Softmax Data Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) data you store or transmit through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights.
16. Termination
You may terminate your account at any time through your account settings or by contacting support. We may suspend your account immediately for violations of these Terms. We may terminate your account for any other reason with 30 days' advance notice.
Upon termination, your access to the Service ceases and your User Data is deleted within 30 days, unless retention is legally required. Sections 6, 7, 8, 13, 14, 15, and 18 survive termination.
17. Force Majeure
Softmax shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, infrastructure failures, or third-party service provider outages.
18. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.
Before initiating formal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days following written notice of the dispute.
19. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email and a prominent notice on the platform at least 15 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with any changes, you must terminate your account before the changes take effect.
20. General Provisions
These Terms and the Privacy Policy constitute the entire agreement between you and Softmax regarding the Service and supersede all prior agreements and understandings. If any provision is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force. Our failure to enforce any right does not constitute a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign freely. These Terms do not create any third-party beneficiary rights.
